1. Introduction

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and SC POLISEMANTIC IDEAS SRL (“Company”, “we”, “us” or “our”). These Terms govern your access to and use of the Transform The Day mobile application (“App”) and its related services. By accessing, installing, or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately stop using the App.

If you are accessing or using the Services on behalf of an employer or another entity, you represent and warrant that you are authorized to bind that entity to these Terms.

2. Our Services

Transform The Day is a personalized AI platform that provides users with strategic recommendations and practical advice for social media content. Through an AI-powered interactive questionnaire and smart analysis, the App delivers tailored suggestions to support users’ business goals or personal branding, with emphasis on platforms like Meta, TikTok, and Instagram.

3. User Eligibility & Account Registration

3.1. Eligibility
The App is available to individuals and entities of any age. However, by using the App, you represent and warrant that you have the legal right and capacity to enter into these Terms. If you are under 18 years old, you may only use the App with the consent of a parent or legal guardian.

3.2. Account Creation and Security
To access the App’s main features, you must create an account using a valid email address or Apple ID. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.

4. Features and Functionality
Daily social media strategies: Personalized content recommendations for Meta, TikTok, Instagram, and similar platforms.

AI Assistance: Interactive chat with artificial intelligence, customized based on your questionnaire responses.

User Questionnaire: Personalized insights based on data provided at registration or during use.

5. Subscriptions, Payments & Trial Period

5.1. Trial Period
The App is free to use for three (3) days after installation. One trial per user per device. We reserve the right to modify, suspend, or restrict eligibility for the trial period at our discretion.

5.2. Subscription
After the free trial, access to premium features requires a paid subscription:

Monthly: $12.99 + VAT/month (price may vary by region)

Semiannual: $54 + VAT/6 months (price may vary by region) Payments are processed through the Apple in-app payment system or other designated platforms. By providing your payment information, you authorize us and our third-party payment processors to charge you for the selected plan.

5.3. Payment Failure
If payment is not completed after the trial period, access to all premium features—including the daily strategy, daily tips, and AI chat—will be suspended until payment is received.

5.4. Cancellations and Refunds
You may cancel your subscription at any time through your app store account settings. We do not offer partial refunds for unused periods, except where required by law or at our discretion.

6. User Data & Privacy

6.1. Data Collected
We collect only your email address (and/or Apple ID), and any data you provide in the user questionnaires. Sensitive data is not collected unless you submit it voluntarily.

6.2. Use of Data
Your data is used solely to provide, improve, and promote our services and to communicate with you.

6.3. Data Storage
Your data is stored as long as your account is active and for a reasonable time thereafter to comply with legal obligations. To request data deletion, email us at contact@transformtheday.ai. For more details, see our Privacy Policy.

7. Intellectual Property & Content Usage

7.1. Ownership
All intellectual property rights in the App—including source code, design, logos, and documentation—are the exclusive property of SC POLISEMANTIC IDEAS SRL. You are granted a limited, non-exclusive, non-transferable license to use the App for personal purposes in accordance with these Terms.

7.2. Permitted Use
Users may share strategies and tips generated by the App for their own non-commercial marketing purposes. Reselling, charging for distribution, or using the App’s content for commercial purposes outside your own activities is prohibited without our written consent.

8. AI-Generated and Edited Content

8.1. Content Rights
Any images or visual materials generated or edited through the App (“AI-Generated Content”) are created at your initiative. To the extent permitted by law, you retain usage rights to AI-Generated Content. However, you grant the Company a worldwide, non-exclusive, royalty-free, transferable license to process, store, and display this content solely in connection with the Services.

8.2. User Responsibility
You are solely responsible for how you use AI-Generated Content, including its publication, distribution, or commercial use. The Company does not guarantee that generated images are entirely original or do not resemble existing materials. You must ensure that your use complies with applicable laws and does not infringe on third-party rights.

8.3. Usage Restrictions
It is strictly forbidden to use the image generation/editing features to create illegal, offensive, discriminatory, violent, or pornographic content, or any content that infringes copyright, trademark, or other intellectual property rights. The Company reserves the right to suspend or terminate accounts that misuse these features.

8.4. Third-Party Services
The image generation/editing functionality may use third-party services or technologies. By using this functionality, you also agree to the terms and policies of those third-party providers, where applicable.

8.5. Limitation of Liability
AI-Generated Content is provided “as is.” The Company offers no warranties regarding accuracy, originality, or fitness for a particular purpose and accepts no liability for how you use the resulting images.

9. Prohibited Activities

Illegal, fraudulent, or harmful activities

Infringing on third-party intellectual property or privacy rights

Uploading or transmitting viruses, malware, or malicious code

Attempting unauthorized access, hacking, or service disruption

Using automated systems to scrape, crawl, or collect data

We reserve the right to suspend, restrict, or terminate your access for any violations.

10. App Updates

By installing the App, you agree to receive and install any updates, improvements, or bug fixes we may provide periodically to enhance the App’s performance, security, or functionality.

11. Termination & Suspension

We may, at our discretion, suspend or terminate your account for any violation of these Terms or for non-payment of subscription fees. Upon termination, your right to use the App ends immediately, and your content or data may be deleted in accordance with legal requirements.

12. Changes to Terms

We may update or modify these Terms at any time. Significant changes will be communicated via email (to your last known address) or through in-app notifications. Continued use of the App after such changes constitutes your acceptance of the updated Terms.

13. Third-Party Links and Services

The App may contain links or integrations to third-party websites or platforms (e.g., Meta, TikTok, Instagram). We do not control these sites and are not responsible for their content, privacy practices, or policies.

14. Disclaimers & Limitation of Liability

THE APP AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. SC POLISEMANTIC IDEAS SRL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OR INABILITY TO USE THE APP.

Where required by law, our liability will be limited to the lesser of the amount you paid in the last 6 months or €100.

15. Indemnification

You agree to indemnify and hold harmless SC POLISEMANTIC IDEAS SRL, its directors, agents, employees, and licensors from any claims, losses, liabilities, or expenses arising from your use of the App, violation of these Terms, or infringement of third-party rights.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of Romania. All disputes shall be resolved exclusively by the competent courts in Romania. If you are a consumer in the EEA, you may also have the right to bring proceedings in your own jurisdiction.

18. General Provisions

These Terms constitute the entire agreement between you and the Company regarding the App.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
Failure to enforce any right or provision does not constitute a waiver.
You may not assign or transfer these Terms, but we may assign them without restriction.
